Fileni Alimentare S.p.A.: RESULTS OF THE MEETING OF NOTEHOLDERS HELD ON 14 DECEMBER 2023

Jesi (Ancona - Italy), 14 Dicembre 2023 - the Noteholders' Meeting relating to the notes issued by Fileni Alimentare S.p.A., (the "Issuer") named "€20,000,000 3.500 per cent. Fixed Rate Amortising Notes due 8 August 2026 (ISIN Code: )" (the "Notes"), held today at Località Cerrete Collicelli, 8, 62011 - Cingoli (MC) (Italy), has approved the extraordinary resolution (the "Extraordinary Resolution") dealing with the following matters:

  1. Amend certain provisions of the terms and conditions of the Notes;
  2. grant certain waivers of breaches of the terms and conditions of the Notes relating, inter alia, to financial covenants and, in so far as necessary, the cross-default;
  3. subsequent and related resolutions.

The result of the Meeting is as follows.

The total nominal amount of Notes produced or represented at the Meeting was € 11,000,000 - representing 55% of the aggregate outstanding nominal amount of the Notes (€ 20,000,000) - and the total number of votes attributable to the Notes so held or produced or represented (one vote in respect of each EUR 1,000 in aggregate nominal amount of the outstanding Notes represented or held) was 11,000.

The Votes on the Extraordinary Resolution proposed to the Meeting were cast as indicated hereunder:

  1. IN FAVOUR the Extraordinary Resolution proposed to the Meeting: 11,000;
  2. AGAINST the Extraordinary Resolution proposed to the Meeting: 0;
  3. UNISTRUCTED POSITION: 0.

The majority required to pass the above Extraordinary Resolution at the Initial Meeting and the Second Meeting will be one or more persons present being or representing Noteholders holding the higher of (i) not less than one-half of the aggregate principal amount of the outstanding Notes, and (ii) not less than two thirds of the aggregate principal amount of the Notes represented at the meeting.

The Extraordinary Resolution has been passed.
